MindPeace AI Platform Terms & Conditions

"MindPeace AI" (the "Platform") is owned and operated by Salt Labs B.V., a company registered under the laws of the Netherlands, with its registered office at Keurenplein 41, Amsterdam, 1069CD, Netherlands (hereinafter referred to as "Salt Labs", "we", "us", or "our"). The use of the Platform and the content and information available within the Platform (hereinafter referred to as "Services") shall be subject to acceptance of and compliance with the terms and conditions set forth in these terms of use (hereinafter referred to as "Terms of Use") and elsewhere within the Platform. The terms "you", "your", "yours", "user", "users", and "yourself" refer to all users of the Platform. Your agreement to comply with and be bound by these Terms of Use is deemed to occur upon your first use of the Platform. If you do not agree to these Terms of Use, you should not use the Platform. Salt Labs has the total right to edit or delete any content within the Platform without notifying you.

1. GENERAL INFORMATION

1.1 You agree not to:

1.1.1. Reproduce, copy, distribute, modify, publish, transmit, display, use, reuse, republish, assign, sublicense, sell, or exploit for any public or commercial purpose any portion of the Platform, use of the Platform, or access to the Platform;

1.1.2. Attempt to change, add to, remove, deface, hack, or otherwise interfere with the Platform or any material or content displayed on the Platform; and/or

1.1.3. Access or use the Platform in any way that could or is intended to damage or impair the Platform, or any server or network underlying the Platform, or interfere with anyone else's use and enjoyment of the Platform.

2. THE PURPOSE OF THE PLATFORM

2.1. The Platform is created for purposes of personal development of users and serves as a platform for self-realization through built-in AI conversations within the Platform. The Platform simulates communication and analyzes some of the User’s data which they share during the session, data from contests, giveaways, surveys, geo-location data, and other data. These data serve as a source for evaluating the User’s mental environment and improving the session experience. The data are therefore processed within the Platform, and the User shall receive an overview of the sessions.

3. REGISTRATION

3.1. The Platform may be used by registered users. Registration is made through Email, and the name and email are used within the Platform. Changes to the registered data are possible, excluding the username. In case of invalid or unreal data, we are entitled to delete the respective account. You may also delete your account, including all your provided data, at any time. Access to certain features of the Platform may require registration or upgrading to a paid plan.

4. PAYMENTS

4.1. The use of the Platform is free of charge. Advanced use of the Platform is subject to a charge. The user has the possibility to pay (i) monthly or (ii) annual fees on the Platform for using advanced features. Charges are paid through available payment methods on the Platform, such as credit card payments through Stripe. Subscriptions are automatically renewed and can be canceled at any time with effect from the beginning of the following payment period. For more information on payments, including taxes and refunds, please refer to the payment terms provided during the purchase process.

5. USER WARRANTIES AND RESPONSIBILITIES

5.1. User Warranties

5.1.1. You represent and warrant that you are at least 18 years of age or the legal age of majority in your jurisdiction, and have the legal capacity to enter into these Terms of Use.

5.1.2. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

5.1.3. You are responsible for safeguarding your account information and for all activities or actions that occur under your account.

5.2. User Responsibilities

5.2.1. You agree not to use the Platform for any unlawful purpose or in any way that might harm, damage, or disparage any other party.

5.2.2. You agree to comply with all applicable laws, statutes, ordinances, and regulations regarding your use of the Platform and Services.

5.2.3. You are solely responsible for your interactions with other users and any content that you provide.

6. DISCLAIMER AND EXCLUSION OF LIABILITY

6.1. The Platform, the Services, and the information on the Platform are provided on an "as is, as available" basis without any warranties, whether express or implied.

6.2. To the fullest extent permitted by applicable law, we disclaim all representations and warranties relating to the Platform and its contents, including in relation to any inaccuracies or omissions in the Platform, warranties of merchantability, quality, fitness for a particular purpose, accuracy, availability, non-infringement, or implied warranties from course of dealing or usage of trade.

6.3. We do not warrant that the Platform will always be accessible, uninterrupted, timely, secure, error-free, or free from computer viruses or other invasive or damaging code, or that the Platform will not be affected by any force majeure events, including inability to obtain or shortage of power or telecommunications, lack of telecommunications equipment or facilities, and failure of information technology or telecommunications equipment or facilities.

6.4. While we may use reasonable efforts to include accurate and up-to-date information on the Platform, we make no warranties or representations as to its accuracy, timeliness, or completeness.

WE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, HOWEVER CAUSED, RESULTING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO USE, RELIANCE ON, OR DOWNLOADING FROM THE PLATFORM, OR ANY DELAYS, INACCURACIES IN THE INFORMATION OR IN ITS TRANSMISSION, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF BUSINESS OR PROFITS, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MindPeace AI is not a substitute for a professional psychologist, therapist, or healthcare provider. MindPeace AI utilizes emerging AI-based technology that may not always function as intended. It may generate incorrect, misleading, offensive, biased, or otherwise inappropriate content. If you encounter any such issues or believe that MindPeace AI is operating improperly, please report them to us and consider discontinuing your use of the platform immediately.

If you are experiencing severe mental health conditions that could lead to self-harm, suicidal thoughts, or other medical emergencies that may endanger yourself or others, or if you have seriously harmed yourself (e.g., by taking a drug overdose), please seek immediate assistance from a certified medical or clinical professional and/or contact your country’s emergency hotlines.

Any information communicated through MindPeace AI is not intended to provide professional recommendations or advice and should not be used for diagnostic, preventive, therapeutic, psychological, health, or medical purposes. How you choose to use the information provided by MindPeace AI is entirely at your own discretion; it is intended solely to encourage you to be guided by your own wellbeing and healthcare decisions.

Before deciding to use any dietary supplement, product, or try any method mentioned through MindPeace AI, or if you have concerns or questions about your mental health, please consult your psychologist, therapist, or another qualified professional about your condition, and always read the product’s package insert carefully.

We disclaim all liability for any damages you may suffer as a result of misinterpretation or improper handling of any information communicated via MindPeace AI. You agree not to bring any claims against us for any harm resulting from misinterpretation or improper use of such information. If you do not agree with this disclaimer, please stop using MindPeace AI.

6.5. The above exclusions and limitations apply only to the extent permitted by law. None of your statutory rights as a consumer that cannot be excluded or limited are affected.

6.6. Notwithstanding our efforts to ensure that our site/system is secure, you acknowledge that all electronic data transfers are potentially susceptible to interception by others. We cannot, and do not, warrant that data transfers pursuant to the Platform, or electronic mail transmitted to and from us, will not be monitored or read by others.

6.7. Although we use reasonable endeavors to ensure that any software made available on the Platform is suitable for downloading, installation, and use by you, all such software is provided "as is" without any warranty. Specifically, and without limitation, we do not warrant that any such software is virus-free, without defects, compatible with other software or operating systems, or suitable for any specific purpose. We accept no liability for any loss or damage caused by the downloading, installation, or use of any such software, and the general exclusions and limitations above apply to such downloading, installation, or use by you.

7. MEDICAL DISCLAIMER

7.1. The Platform provides online self-reflection, journaling, meditation, mindfulness, sleep, and movement content in the health and wellness space. We are not a healthcare or medical device provider, nor should our services be considered medical advice. Only your physician or other healthcare provider can provide medical advice. While there is third-party evidence from research that meditation can assist in the prevention and recovery process for a wide array of conditions as well as in improving some performance and relationship issues, Salt Labs makes no claims, representations, or guarantees that the Platform provides a physical or therapeutic benefit.

7.2. Any health information and links within the Platform, whether provided by Salt Labs or by contract from outside providers, are provided simply for your convenience.

7.3. To the extent that you participate in any movement content featured within the Platform, you represent and warrant that you are in adequate physical health to perform such activities and have no disability or condition that would make such movement dangerous. You should consult a licensed physician prior to beginning or modifying any exercise program that you undertake, especially if you have a prior injury, a history of heart disease, high blood pressure, or other chronic illness or condition. You acknowledge that Salt Labs has advised you of the necessity of doing so.

7.4. Any advice or other materials within the Platform are intended for general information purposes only. They are not intended to be relied upon and are not a substitute for professional medical advice based on your individual condition and circumstances. The advice and other materials we make available are intended to support the relationship between you and your healthcare providers and not replace it. We are not liable or responsible for any consequences of your having read or been told about such advice or other materials, as you assume full responsibility for your decisions and actions. In particular, to the fullest extent permitted by law, we make no representations or warranties about the accuracy, completeness, or suitability for any purpose of the advice, other materials, and information published as part of the Platform.

7.5. During the use of this Platform, you acknowledge that MindPeace is not a medical device, and therefore we do not predict any mental issues, mental diseases, attacks, etc. We are not liable or responsible for any health issues and their non-resolution.

7.6. Within the Platform, users can consult with the therapeutic counseling center via online chat ("Talk to Advisor Service"). Users acknowledge that the Talk to Advisor Service is not a psychological, psychiatric, or psychotherapeutic service; it is not a health service. Talk to Advisor is not a substitute for psychological or psychiatric help provided by health professionals. Users should consult professional psychologists or psychiatrists regarding their medical condition.

7.7. There have been rare reports where people with certain psychiatric problems like anxiety and depression have experienced worsening conditions in conjunction with intensive self-reflection or meditation practice. People with existing mental health conditions should speak with their healthcare providers before starting to use the Platform.

8. INTELLECTUAL PROPERTY RIGHTS

8.1. All editorial content, information, photographs, illustrations, artwork, and other graphic materials, and names, logos, and trademarks within the Platform are protected by copyright laws and/or other laws and/or international treaties, and belong to us and/or our suppliers, as the case may be. These works, logos, graphics, sounds, or images may not be copied, reproduced, retransmitted, distributed, disseminated, sold, published, broadcast, or circulated, whether in whole or in part, unless expressly permitted by us and/or our suppliers, as the case may be.

8.2. Nothing contained on the Platform should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark displayed on the Platform without our written permission. Misuse of any trademarks or any other content displayed on the Platform is prohibited.

8.3. We will not hesitate to take legal action against any unauthorized usage of our trademarks, name, or symbols to preserve and protect our rights in the matter. All rights not expressly granted herein are reserved. Other product and company names mentioned herein may also be the trademarks of their respective owners.

9. PERSONAL DATA

9.1. For the purposes of registration into the Platform and the use of the Platform, we collect and use your personal data. We collect and use your personal data in accordance with the respective data protection regulations, in particular:

9.1.1. Before or at the time of collecting personal data, we identify the purposes for which data is being collected.

9.1.2. We collect and use personal data solely with the objective of fulfilling those purposes specified by us and for other compatible purposes, unless we obtain the consent of the individual concerned or as required by law.

9.1.3. All provided personal data is anonymized by us and is accessible only by authorized persons.

9.1.4. We only retain personal data as long as necessary for the fulfillment of those purposes.

9.1.5. We collect personal data by lawful and fair means and, where appropriate, with the knowledge or consent of the individual concerned.

9.1.6. Personal data should be relevant to the purposes for which it is to be used and, to the extent necessary for those purposes, should be accurate, complete, and up to date.

9.1.7. We protect personal data by reasonable security safeguards against loss or theft, as well as unauthorized access, disclosure, copying, use, or modification.

10. RISK ACKNOWLEDGEMENT

10.1. General Risks

10.1.1. You acknowledge and agree that using the Platform involves risks, including but not limited to the risk of exposure to offensive, indecent, or objectionable content, and that you use the Platform at your own risk.

10.1.2. You understand that the Platform may not be error-free and that you may be exposed to content that is inaccurate or unsuitable.

10.2. Technological Risks

10.2.1. You acknowledge that there are risks associated with utilizing an Internet-based Platform, including but not limited to the failure of hardware, software, and Internet connections. You acknowledge that Salt Labs shall not be responsible for any communication failures, disruptions, errors, distortions, or delays you may experience when using the Platform.

11. LIMITATION OF LIABILITY AND INDEMNIFICATION

11.1. Limitation of Liability

11.1.1. To the maximum extent permitted by applicable law, in no event shall Salt Labs, its affiliates, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

11.2. Indemnification

11.2.1. You agree to defend, indemnify, and hold harmless Salt Labs, its affiliates, directors, employees, agents, and licensors from and against any claims, actions, or demands, including without limitation reasonable legal and accounting fees, arising or resulting from your breach of these Terms of Use or your misuse of the Platform or Services.

12. CHANGES TO TERMS OF USE

12.1. These Terms of Use may be modified from time to time. Any modifications to these Terms of Use will be effective upon posting. You should therefore read these Terms of Use before you use the Platform. Your continued use of the Platform after any modifications to the Terms of Use indicates your acceptance of the modified Terms of Use.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1. The Platform may be accessed from all countries around the world where the local technology permits. As each country has differing laws, by accessing the Platform, both we and you agree that the laws of the Netherlands, without regard to the conflict of laws principles thereof, will apply to all matters relating to these Terms of Use.

13.2. Dispute Resolution

13.2.1. Any dispute arising out of or in connection with these Terms of Use, including any question regarding its existence, validity, or termination, shall be resolved by the competent courts of the Netherlands.

14. MISCELLANEOUS

14.1. Severability

14.1.1. If any provision of these Terms of Use is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

14.2. Assignment

14.2.1. You may not assign or transfer any rights or obligations under these Terms of Use without our prior written consent. We may assign or transfer our rights and obligations under these Terms of Use at any time without notice.

14.3. Entire Agreement

14.3.1. These Terms of Use constitute the entire agreement between you and us regarding the use of the Platform and supersede any prior agreements between you and us relating to your use of the Platform.
